This End User License Agreement (“Agreement”) is a legal contract between you (“User” or “you”) and Matic LLC (“Company,” “we,” “our,” or “us”), the owner of the Packaroo mobile and web applications (“App”). Please read this Agreement carefully before using Packaroo. By downloading, installing, accessing, or using Packaroo, you agree to be bound by this Agreement. If you do not agree, do not use the App.

1. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to use Packaroo solely for your personal, non-commercial use, subject to this Agreement and our Privacy Policy.

2. Restrictions

You may not:

• Copy, modify, or create derivative works of Packaroo.

• Distribute, sell, rent, lease, sublicense, or transfer the App to any third party.

• Reverse engineer, decompile, or attempt to extract source code from the App, except where permitted by law.

• Use Packaroo in violation of any applicable law, regulation, or third-party rights.

3. Ownership

Packaroo and all related content, features, and intellectual property are owned by Matic LLC and protected by copyright, trademark, and other intellectual property laws. This Agreement does not transfer any ownership rights to you.

4. Account & Data

If you create an account or use Packaroo’s cloud features:

• You are responsible for keeping your login credentials secure.

• You retain ownership of content you add but grant us a license to store, process, and display it as necessary to operate the App.

• Use of personal data is governed by our Privacy Policy.

5. Subscriptions & Payments

•Packaroo offers subscription plans, including Packaroo Pro, Family Sharing, and other tiers (collectively, “Subscriptions”).

• Subscriptions are billed through the Apple App Store (or other platform provider) and are subject to their payment terms, conditions, and policies.

• Unless otherwise stated, Subscriptions automatically renew at the end of each billing cycle. Renewal charges will be applied to the same payment method you used at signup.

• You may manage or cancel your Subscription through your App Store account settings. Cancellation must occur at least 24 hours before the renewal date to avoid being charged for the next cycle.

• All payments are non-refundable, except where required by applicable law or the App Store’s policies.

• We may modify Subscription pricing, features, or tiers. Any changes will be communicated in advance, and if you do not agree, you may cancel your Subscription before the next renewal.

6. Updates

We may provide updates or upgrades to Packaroo. Updates may install automatically and are subject to this Agreement unless additional terms are provided.

7. Termination

This Agreement remains in effect until terminated. We may suspend or terminate your access to Packaroo at any time if you breach this Agreement. Upon termination, you must cease all use and delete all copies of the App.

8. Disclaimers

Packaroo is provided “as is” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Packaroo will be error-free, uninterrupted, or that defects will be corrected.

9. Limitation of Liability

To the fullest extent permitted by law, Matic LLC and its affiliates shall not be liable for any indirect, incidental, consequential, or special damages, including loss of data, profits, or use, even if advised of the possibility. Our total liability under this Agreement will not exceed the amount you paid for Packaroo in the 12 months preceding the claim.

10. Governing Law

This Agreement is governed by the laws of the State of Colorado, USA, without regard to conflict of law principles. You agree that any dispute shall be subject to the exclusive jurisdiction of courts located in Denver, Colorado.

11. Export Control

You agree to comply with all U.S. and international export laws and not to use or export Packaroo in violation of applicable regulations.

12. Changes to this Agreement

We may update this Agreement from time to time. Continued use of Packaroo after changes become effective constitutes acceptance of the updated terms.
